Major Capital Raise Signals AKTOR’s Next Growth Phase
AKTOR has officially launched the order book for its €650 million share capital increase, marking one of the most significant equity offerings undertaken by a Greek listed company in recent years. The transaction is expected to become a landmark event for the domestic capital market while providing the financial resources needed to accelerate the group’s long-term growth strategy.
The company is offering up to 78 million new ordinary shares, with a maximum offering price of €13.52 per share, through a combined public offering in Greece and an international private placement targeting institutional investors.
Funding a New Strategic Growth Plan
The capital raised will finance the next phase of AKTOR’s transformation into a leading infrastructure and investment group.
Management plans to strengthen the company’s presence across construction, concessions, renewable energy, real estate and infrastructure projects, positioning AKTOR to capitalize on the strong pipeline of public and private investments currently underway in Greece and Southeast Europe.
The capital increase is viewed as a cornerstone of the company’s long-term strategy, providing the financial flexibility needed to pursue new investments while creating additional value for shareholders.
Strong Support from Major Shareholders
A key positive feature of the transaction is the strong backing expressed by AKTOR’s principal shareholders.
WINEX Investments Limited, Castellano Properties Limited and Blue Silk (CY) Ltd have indicated their non-binding intention to participate in the offering with investments totaling up to €350 million, underscoring their confidence in the company’s strategic direction.
In addition, both the company and its major shareholders have agreed to lock-up commitments following the completion of the offering, supporting market stability during the initial trading period of the newly issued shares.
Global Investment Banks Lead the Offering
The international placement is being coordinated by three of the world’s leading investment banks—Goldman Sachs, Bank of America Securities and UBS—highlighting the scale and international profile of the transaction.
They are joined by Greece’s leading banks and brokerage firms, reflecting broad support from both domestic and international financial institutions.
The participation of global investment banks is expected to enhance the visibility of the offering among international institutional investors at a time when capital allocation decisions remain highly selective.
Combined Offering Targets Domestic and International Investors
The share capital increase is structured as a combined offering, with 20% of the new shares initially allocated to the Greek public offering and 80% to the international private placement.
The final allocation, however, will depend on investor demand during the book-building process, allowing the company to optimize the placement across both domestic and international markets.
Existing eligible shareholders participating in the Greek public offering will also benefit from a priority allocation mechanism designed to help them maintain their ownership stake following the capital increase.
A Key Test for the Greek Capital Market
Beyond AKTOR itself, the transaction represents an important test for the Greek equity market’s ability to attract substantial international investment.
Despite heightened global uncertainty driven by geopolitical tensions, elevated interest rates and volatile financial markets, Greece continues to benefit from improving macroeconomic fundamentals, robust investment activity and renewed international investor interest.
A successful completion of the offering would further strengthen AKTOR’s balance sheet, accelerate the implementation of its strategic investment program and reinforce confidence in the ability of the Greek capital market to support large-scale corporate financing.
As the book-building process unfolds over the coming days, investors will closely watch demand levels, which are expected to provide an important indication of international appetite for Greek equities and confidence in AKTOR’s long-term growth prospects.
